1. Acceptance of Terms
By installing, accessing, or using the En Garde Chrome Extension ("Extension"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Extension.
These Terms constitute a legally binding agreement between you and En Garde Media Inc. ("En Garde", "we", "us", or "our"). You must be at least 18 years old to use the Extension, or have the consent of a parent or guardian.
2. Description of Service
The En Garde Chrome Extension is a browser tool that allows users to:
- Detect and save advertisements from various social media platforms and websites
- Analyze ads for cultural resonance across five dimensions
- Store saved ads in a personal ad library
- Access saved ads across multiple devices
- Generate insights and reports on advertising content
The Extension works in conjunction with the En Garde platform and requires an active En Garde account to function.
3. Your Account
Account Registration
To use the Extension, you must have an En Garde account. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
Account Security
You agree not to share your account credentials with others. We are not liable for any loss or damage arising from your failure to maintain account security.
4. Use of the Extension
Permitted Uses
You may use the Extension for:
- Saving publicly visible advertisements for research and analysis
- Competitive analysis and market research
- Creative inspiration within fair use guidelines
- Educational purposes
- Any other lawful business purpose
License Grant
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, limited license to use the Extension for your internal business purposes.
5. Restrictions
You agree NOT to:
Use the Extension to violate any applicable laws or regulations
Copy, modify, or create derivative works of the Extension
Reverse engineer, decompile, or disassemble the Extension
Use automated tools to scrape or harvest data beyond intended functionality
Circumvent any security features or access restrictions
Use the Extension to infringe on intellectual property rights
Resell, redistribute, or sublicense the Extension
Use the Extension in any way that could damage our servers or networks
6. Intellectual Property
Our Property
The Extension and all associated intellectual property rights, including but not limited to software, logos, trademarks, and documentation, are owned by En Garde Media Inc. Nothing in these Terms grants you any right to use our trademarks, logos, or other proprietary information.
Your Content
You retain ownership of any content you create using the Extension. By using the Extension, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely to provide the service to you.
Third-Party Content
The ads you save using the Extension remain the property of their respective owners. You are responsible for ensuring your use of saved ads complies with applicable copyright and intellectual property laws.
7. Privacy
Your use of the Extension is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Extension, you consent to the practices described in our Privacy Policy.
8. Disclaimer of Warranties
THE EXTENSION IS PROVIDED "AS IS" AND "AS AVAILABLE"
We disclaim all warranties, express or implied, including but not limited to:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of the Extension
We do not warrant that the Extension will be uninterrupted, error-free, secure, or free of viruses. You use the Extension at your own risk.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
En Garde Media Inc., its affiliates, officers, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, use, or goodwill
- Service interruptions
- Computer damage or system failure
- Cost of substitute services
Maximum Liability
Our total liability to you for all claims arising from or related to the Extension will not exceed the amount you paid us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless En Garde Media Inc., its affiliates, and their respective officers, employees, agents, partners, and licensors from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising from:
- Your use of the Extension
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you save or process using the Extension
11. Termination
Termination by You
You may stop using the Extension at any time by uninstalling it from your browser.
Termination by Us
We may suspend or terminate your access to the Extension at any time, with or without cause or notice, including but not limited to:
- Violation of these Terms
- Non-payment of subscription fees
- Harmful or illegal activity
- At our sole discretion
Effect of Termination
Upon termination, your license to use the Extension ends immediately. Sections 6, 8, 9, 10, 13, and 14 survive termination.
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the "Last Updated" date
- Sending an email notification (for material changes)
- Displaying a notice in the Extension
Your continued use of the Extension after changes constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Extension.
13. Governing Law
Applicable Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Dispute Resolution
Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration will be conducted in Delaware, and judgment may be entered in any court of competent jurisdiction.
Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions, class arbitrations, or representative actions.
